Pursuant to Law 142 of 1994 (Household Utility Services in Colombia) and Agreement No. 01 of 1996 of the Bogota D.C. District Council, on May 31, 1996, Empresa de Energía de Bogotá S.A. ESP underwent a transformation process from being an Industrial and Commercial State-owned Company (E.I.C.E. for its Spanish acronym) to become a Stock Company governed by Private Law.
EEB S.A. ESP, once transformed under rules of Law 142 of 1994, the company continued its energy generation, transmission, distribution and commercialization activities. On 24 January 1997, General Shareholders Meeting of EEB S.A. ESP approved the plan submitted by Management and its consultants for a subsequent restructuring of the company and the incorporation of private investors.
On 23 October 1997, the business segregation process was completed with the creation of two companies: Emgesa S.A. ESP, dedicated to electricity generation, and Codensa S.A. ESP, dedicated to the commercialization and distribution of energy. As of that moment, EEB S.A. ESP operates the energy transmission activity at levels exceeding (230 and 500 KV) and the Regional Dispatch Center (RDC).
