EEB announces entering the electricity market in Brazil

  • Grupo Energía de Bogotá entered today into a purchase agreement to buy 51% of four electricity transmission concessions in Brazil and continues to consolidate itself as a key player in the power sector in the Americas.
  • EEB has recorded a USD 500 million in new investments during 1Q 15. EEB has been awarded in recent February with an electricity 500 kV transmission project –Substation Alférez to reinforce infrastructure in southwestern Colombia, whose influence is in the departments of Antioquia, Caldas, Quindío, Risaralda and Valle del Cauca

Bogota, D.C., 27th March 2015. Empresa de Energía de Bogotá S.A. ESP –EEB, head of Grupo Energía de Bogotá, has closed transactions during 2015 nearly by an amount of USD 500 million concentrated on recent awarding of the project to reinforce Colombia's energy infrastructure and on purchase agreement with JMalucelli Energía, JMalucelli Constructora de Obras y Desenvix to acquire 51% of four electricity transmissions concessions in Brazil.

The contract signing was held this morning at the EEB´s headquarters and it contemplates the acquisition of Transenergía Renovável S.A., Transenergía São Paulo s.a., Goiás Transmissão S.A. y MGE Transmissão S.A. concessions.

Concession contracts were awarded by means of public bids on 2008 and 2009 for 25 years. The lines have an extension of 1,094Kms. With voltage values of 500, 345, 230 and 138 kV and are located in the following states: Espíritu Santo, Goias, Mato Grosso, Mato Grosso Do Sul, Minas Gerais and Sao Paulo.

The acquisition allows the group to have a strategic partner in Brazil, Furnas, who has the 49% equity stake of the four concessions. Furnas is a company of mixt economy, has and maintains 17 hydroelectric plants, 2 thermal energy plants and 65 substations. It has a 12.621 MW installed capacity.

In addition, the company has 23,000 Kms. of transmission lines and it provides 97% of the electricity in Brasilia, 92% in Rio de Janeiro, 81% in Mato Grosso, 81% in Espírito Santo, 61% in Goiás, 58% in São Paulo, 45% Minas Gerais and 16% in Tocantins.

Closing of this transaction is approximately valued at USD 170 million and is subject to compliance of all precedent conditions, which is expected to occur during first semester of 2015. Once the transaction materializes, Grupo Energía de Bogotá will continue to consolidate itself as a key player in the power sector in the Americas. Likewise, this transaction would be the first investment of Grupo in Brazil, supplementing strategic investments the company already holds in Colombia, Peru and Guatemala.

Mr. Ricardo Roa Barragán, CEO of Grupo Energía de Bogotá, highlights that USD 170 million investment in Brazil plus the USD 330 million to invest for the design, construction, operation and maintenance of Southwestern Reinforcement Project are part of EEB’s investment program of USD 1.8 billion recent approved by the Board for the next four years.

Mr. Roa also stated that Brazil is the most important electricity power market in the region enjoying steady dynamic growth. He further stated that “revenues are regulated with clear rules established for rate revision processes, which will allow conducting the assessment of opportunities under clear rules and thus reducing the level of uncertainty”.

This consolidates EEB as second electricity transmission company in Colombia and a key player in terms of growth on the last two years.
