Sales Process of the stake Empresa de Energía de Bogotá S.A. E.S.P. holds in Isagen S.A. E.S.P.

Bogotá, D.C., 21 July 2016. Empresa de Energía de Bogotá S.A. ESP informs the general public by means of a relevant information mechanism in conformity with Decree 2555 of 2010 and other applicable standards, that on 21 July 2016 it has published in the ‘Portafolio’ Newspaper an ad whereby the start of the Second Stage of the Sales Program of the stake Empresa de Energía de Bogotá S.A. E.S.P. holds in Isagen S.A. E.S.P. is declared. The foregoing, taking into account that on last 20th June 2016, the First Stage of such Sales Process was deemed completed, once the Public Bid issued by Empresa de Energía de Bogotá, S.A. E.S.P. was declared deserted.
In this Second Stage, the general public will be offered the total stake that Empresa de Energía de Bogotá S.A. E.S.P. holds in Isagen S.A. E.S.P., corresponding to sixty eight million seven hundred and sixteen thousand (68,716,000) ordinary shares, equivalent to 2.52% of outstanding shares of such company.
During the Second Stage, Empresa de Energía de Bogota, S.A. E.S. P. will make a public bid in the secondary market for a period determined on the Ad on the Start of the Second Stage. Once the period of such public bid has been depleted in the secondary market without having sold the total number of shares, Empresa de Energía de Bogotá, S.A. E.S.P. may accept any Public Bid that is either launched or opened to the market during the term of the Second Stage for up to the remaining number of shares that would not have been sold during the public bid. Those shares will be offered at a minimum price of COP$4,139 per share, through mechanisms ensuring broad advertisement and free market participation.
This Second Stage shall be governed by that set forth in Law 226 of 1995, Decree 172 of 12 April 2016 and Regulations of the Second Stage issued by Empresa de Energía de Bogotá S.A. E.S.P. and other documents related therewith.
